Terms of Service

Effective Date: 2 May 2026

These Terms of Service (“Terms”) form a legally binding agreement between TokPortal, a French company registered as Société par Actions Simplifiée à Associé Unique under RCS Paris 993 944 305, headquartered at 60 rue François 1er, 75008 Paris (“TokPortal”, “we”, “us”), and any person or entity using the TokPortal websites (tokportal.com, app.tokportal.com, *.tokportal.com) or related services (collectively, the “Platform”).

By creating an account, purchasing credits, posting a Listing, accepting a Mission, clicking “I agree”, or otherwise using the Platform, you acknowledge that you have read, understood and fully accepted these Terms. If you do not agree, you must not use the Platform.

1. Definitions

  • Account Manager (AM): A natural or legal person at least 18 years old who offers community-management-related services via the Platform.
  • Client: A natural or legal person who purchases credits and creates Listings requesting services from AMs.
  • Credits: Prepaid digital units purchased by Clients on the Platform; credits allow the purchase of services. Credits are not a currency, are non-refundable, non-redeemable for money, and cannot be transferred outside the Platform.
  • Listing (“Bundle”): A service request created by a Client specifying deliverables such as account setup, niche warming, uploads, or comment replies.
  • Mission: A contract concluded directly between Client and AM when the AM accepts a Listing.
  • Order: The payment made by the Client to acquire credits or purchase a service.
  • TokMail: Auto-generated email addresses hosted on a TokPortal-owned domain and used exclusively for account-setup workflows.
  • Owning Fee: The recurring monthly fee payable in respect of accounts whose credentials have been revealed to the Client, under the conditions set out in Section 12.5.
  • Managed Account Subscription: The recurring charge in credits payable, per thirty (30) day period, in respect of each account managed through the Platform, under the conditions set out in Section 12.7.
  • Account Rental: A feature through which an AM or account owner makes their existing social-media page available on the Platform for Clients to schedule content on. TokPortal acts solely as a matchmaking and scheduling facilitator; it does not own, operate, or control rented accounts.

2. Scope and Role of TokPortal

TokPortal operates solely as a neutral digital marketplace facilitating interactions between Clients and AMs.

TokPortal is not:

  • an employer of AMs,
  • a contractor or agent of either party,
  • a provider of social-media content services,
  • a creative agency or advertising service,
  • a partner, affiliate, or representative of TikTok, Instagram, YouTube, Meta, or any other platform.

TokPortal does not provide:

  • content creation,
  • performance guarantees of any kind,
  • access to unavailable platform features (e.g., unavailable country targets),
  • any service not explicitly listed on the Platform.

Clients acknowledge that the only service sold by TokPortal is access to a marketplace enabling the hiring of AMs and the scheduling of content.

TokPortal has no editorial control over Listings, instructions given by Clients, content posted by AMs, or results achieved on social platforms.

3. Credit System

Credits are the exclusive method of purchasing services on TokPortal.

3.1 Nature of Credits

  • Credits are digital units with no monetary value.
  • Credits cannot be redeemed for cash, exchanged, transferred, or sold.
  • Credits cannot be used outside TokPortal.
  • Credits are consumed when purchasing a Bundle or Mission-related service.

3.2 Refund Policy

Credits are non-refundable. Once purchased, credits give rise to no right to a monetary refund, reimbursement, exchange, transfer, or set-off, whatever the ground invoked, including where they remain wholly or partly unused, where they expire under Section 3.3, where an Order is cancelled under Section 5.8, or where the Client ceases to use the Platform.

Where these Terms provide a remedy in respect of a service funded by credits — in particular under Sections 5.7, 7.4 and 20 — that remedy takes the form of credits restored to the Client’s Platform balance and never of a payment in money.

A Client cannot request a refund based on dissatisfaction with social-media platform performance, unavailable features of third-party platforms, or misunderstandings unrelated to TokPortal’s explicitly defined services.

This Section applies except where mandatory law provides otherwise, in particular in respect of Clients qualifying as consumers under French law.

3.3 Credit Validity and Rollover

  • Pay-As-You-Go packs: valid for 60 days from the date of purchase. Unused credits expire automatically.
  • Monthly subscriptions: unused credits roll over for up to 1 month. Remaining credits expire at the next billing cycle.
  • Yearly subscriptions: unused credits roll over for up to 2 months. Remaining credits expire automatically.

Expired credits cannot be restored, refunded, or converted. TokPortal is under no obligation to notify users prior to credit expiration.

4. Eligibility and Account Registration

  • AMs must be at least 18 years old.
  • Clients under 18 must have guardian consent.
  • Users must provide accurate registration information and maintain account security.

5. Listing and Mission Rules

5.1 Creation of Listings

Clients define the deliverables, deadlines, instructions, and target country.

5.2 Mission Acceptance

AMs may accept Listings relevant to their declared operational countries. Acceptance forms a binding contract between Client and AM, not with TokPortal.

5.3 Service Standards

AMs must: follow the Listing instructions, comply with applicable laws, and comply with the rules of the target social-media platform.

5.4 Completion & Validation

After the AM marks a Mission as delivered, the Mission enters an in_review stage. During this stage, the Client may request reasonable modifications or corrections from the AM, provided that such requests remain within the original Listing scope and are submitted through the Platform workflow.

A Mission is completed when the Client directly validates or finalizes it, or automatically after a review period of at least 3 calendar days if the Client takes no action. Completion, whether triggered by the Client or automatically, is final and irreversible.

Once a Mission has been completed, TokPortal, the AM, and the Platform are no longer required to provide support, modifications, corrections, replacements, refunds, or follow-up work for that Mission, except as provided in Section 7.4 or where mandatory law requires otherwise.

When a Mission involving account setup or uploads is auto-approved, publication dates will be set automatically no earlier than 3 days later.

5.5 Capacity Limitations and Order Cooldowns

At any time, and without any prior warning being possible given the urgent and unpredictable nature of the underlying circumstances, TokPortal may throttle, restrict, or temporarily suspend its capacity to create or fulfill accounts (or any other Order, Listing, or Bundle), in respect of all or any portion of its Clients. Affected Listings, Bundles, or account creations may be processed only after a cooldown period determined at TokPortal’s sole discretion, with no possibility of refund, credit, or compensation.

Information relating to the status, scope, or expected duration of any such measure may be requested by contacting TokPortal directly by email. This measure is not intended to be systematic and applies solely to periods during which TokPortal is unable to accept an excessive volume of orders given its capacity in terms of available Account Managers and operational resources. In such cases, an error message will be displayed at the time of publication of the Bundle or creation of the account.

5.6 Per-Task Review Period and Finalization

For each task processed through the Platform — including without limitation video uploads, account creations, account edit requests, commenting tasks, and any other deliverable type — a dedicated review period is automatically allocated to allow the Client to inspect the corresponding output, except where the Client has expressly enabled an auto-approval setting in respect of such task type. Any modification, correction, or feedback concerning the task itself or any task adjacent to it must be requested by the Client during this review phase and through the Platform workflow.

Once an item, deliverable, or task has been marked as “finalized” in TokPortal’s database — whether following the Client’s express validation, the expiration of the applicable review period, or the activation of an auto-approval setting — it shall be conclusively deemed approved and accepted by the Client. TokPortal and the relevant Account Manager shall accordingly bear no further obligation to provide support, modifications, corrections, replacements, refunds, or follow-up work in respect of such finalized item, except as provided in Section 7.4 or where mandatory law provides otherwise.

5.7 Delivery Times and Acceptance Window

Strictly no delivery time is guaranteed in respect of any Order, Listing, Bundle, or Mission. TokPortal does not warrant or guarantee that any given Order will be accepted, processed, or completed within any specific number of days, hours, or other time frame. Any indicative timeline communicated through the Platform, marketing materials, support exchanges, or any other channel is provided for information purposes only and shall not constitute a binding commitment of TokPortal or of any Account Manager.

Notwithstanding the foregoing, where a given Order has not been accepted by any Account Manager within fourteen (14) business days from the date on which the corresponding Listing is published on the Platform, TokPortal shall, upon the Client’s request, refund the credits used to fund such Order. Such refund shall be issued exclusively in the form of credits restored to the Client’s Platform balance, shall constitute the Client’s sole and exclusive remedy in respect of such delay, and shall not give rise to any further compensation, damages, monetary refund, or other claim.

5.8 Automatic Cancellation of Inactive Orders

Where an Order has been placed and no action attributable to the Client has been recorded in respect of it for more than thirty (30) consecutive days, that Order is automatically cancelled. Actions attributable to the Client include, without limitation: submitting the content to be published, configuring the videos or the account concerned, responding to a request for information or a correction request from the Account Manager, and any other step which the Platform workflow requires of the Client in order for the Order to progress.

Such cancellation is final and gives rise to no refund, no credit restoration, and no compensation of any kind: the credits used to fund the Order are definitively consumed. TokPortal is under no obligation to notify the Client before the expiry of that period or before the cancellation is applied.

This Section concerns inactivity attributable to the Client alone. It does not apply where an Order has failed to progress for reasons attributable to TokPortal, to the Account Manager, or to the capacity limitations described in Section 5.5; Orders which no Account Manager has accepted remain governed by Section 5.7.

6. Payments, Fees and Taxes

6.1 General Rule

All payments made by Clients on the Platform are processed by TokPortal via Stripe or any other approved payment processor. TokPortal temporarily retains these funds in order to operate the service and facilitate payments to AMs.

6.2 Service Fees and Commission

TokPortal applies service fees to every Mission. These fees are determined solely at TokPortal’s discretion, may vary depending on the type of service, country, demand, or any operational factor, and may be modified at any time without prior notice unless required otherwise by law. No user may claim a fixed or guaranteed commission rate.

6.3 AM Payouts

Payments to AMs are issued only after Mission completion, may be delayed, suspended or adjusted for technical, administrative or compliance reasons, and are always calculated after deduction of TokPortal’s service fees.

6.4 Taxes and Legal Obligations

AMs are solely responsible for declaring income, paying taxes and social contributions, and complying with local laws. TokPortal bears no responsibility for AMs’ fiscal or administrative obligations.

6.5 Chargebacks and Reversals

If a payment is reversed (chargeback, fraud suspicion, unauthorized payment, or similar), TokPortal may deduct the corresponding amount from the AM’s future payouts, request reimbursement directly from the AM, or suspend the AM’s account until resolution. No Client or AM may hold TokPortal responsible for such reversals.

6.6 Payment Default on an Active Subscription

Where a payment due under an active subscription fails, is declined, is reversed, or otherwise remains outstanding, access to the dashboard becomes impossible: TokPortal may immediately restrict or suspend the Client’s access to the Platform in its entirety, including without limitation the dashboard, the accounts managed through it, analytics, the credential-reveal workflow, and the API, until the outstanding amount has been settled in full.

Such a restriction is neither a termination of the subscription nor a waiver of the sums due. Credits held at the time of the suspension remain governed by Section 3 and continue in particular to expire in accordance with Section 3.3 throughout the period of suspension. Tasks already submitted may be suspended, deferred, or cancelled at TokPortal’s sole discretion, and Orders left inactive as a result remain subject to Section 5.8. Where the default persists, Section 14 applies.

7. Client Responsibilities and Limitations

Clients acknowledge that their purchase on TokPortal covers only access to the Platform and the hiring of an AM for the specific services explicitly described in a Bundle. TokPortal does not guarantee availability, performance, platform features, or compatibility with external systems.

7.1 Non-Refundable Cases (Non-Exhaustive)

Subject to Section 7.4, refunds, credits, compensation or replacements cannot be issued for any reason not strictly tied to TokPortal’s failure to deliver a service explicitly defined in a Bundle. Examples include but are not limited to:

  • Requesting a country that is not available on the Platform or that becomes unavailable.
  • Expecting access to features available on a social network but not supported by TokPortal.
  • Changes in third-party platform rules that impact how AMs can post or interact.
  • Account bans, restrictions, or removal caused by platform algorithms, community guidelines, copyright detection, or automated moderation, except where the conditions of Section 7.4 are met.
  • Performance-related dissatisfaction (e.g., low views, low engagement, low growth, poor algorithmic reach), except where the conditions of Section 7.4 are met.
  • Video content already published and finalized, which is deemed consumed under Section 7.4.9 whatever the cause invoked.
  • Limitations or bugs on the Client’s social-media account.
  • Client misunderstanding or lack of due diligence about what the Bundle includes.
  • Operational delays caused by AM availability, time zones, weekends, or holidays, when within reasonable limits.
  • Third-party platform outages or disruptions.
  • Client mistakes such as providing incorrect instructions, wrong country selection, invalid login credentials, or late submission of content.
  • Orders automatically cancelled for Client inactivity under Section 5.8.
  • Accounts deemed accessed within the meaning of Section 12.4.1, whatever the consequence invoked.
  • Dormant accounts to which access is no longer guaranteed under Section 12.6.

This list is non-exhaustive. Save as provided in Section 7.4, TokPortal may refuse refunds in any scenario where the requested refund concerns an expectation or feature not strictly included in the Bundle.

7.2 Temporary Retention of Account Access

For operational, administrative, compliance, or security purposes, TokPortal may temporarily retain, delay, or restrict access to social-media accounts managed by AMs for Clients. Reasons include but are not limited to: verification of proper ownership, fraud prevention, compliance checks, payment review, technical audits, or ensuring account integrity before transfer to the Client. Access will be released once the underlying reason is resolved, subject to TokPortal’s assessment.

7.3 Review Window and Post-Completion Support

Clients must inspect delivered Missions during the in_review stage and submit any requested modifications or corrections before completion. By directly finalizing a Mission, or by allowing it to complete automatically after the applicable review period, the Client confirms acceptance of the delivery and waives any right to request further Mission-specific support, corrections, or modifications. This waiver does not affect the Client’s ability to request an account replacement under Section 7.4.

7.4 Account Bans and Replacements

Notwithstanding Sections 3.2, 5.4, 5.6, 7.1, 10, 11, 16 and 18.1, and as a matter of commercial policy, TokPortal may replace an account in the limited circumstances set out in this Section. This Section prevails over any other provision of these Terms in respect of account replacements and free remakes, save for Sections 7.4.7, 7.4.8, 7.4.9 and 20, which prevail over this Section. A summary of this policy, together with practical guidance, is published at tokportal.com/ban-and-replacement-policy; this Section prevails over that page in the event of any discrepancy.

Nothing in this Section constitutes a performance guarantee, a warranty of account longevity, or an admission of liability. It creates no right to a monetary refund, and applies solely to accounts satisfying the cumulative conditions set out below.

7.4.1 Scope of a replacement.

Where an entitlement under this Section is granted, it covers the account together with all video slots and any other add-ons ordered in respect of that account which have not yet been consumed within the meaning of Section 7.4.9. Video slots and add-ons already consumed are excluded from it.

The remedy consists in the restoration of the corresponding value in credits to the Client’s Platform balance. No replacement account or free remake is issued by default; TokPortal may elect to provide one in a given case but is under no obligation to do so, and the Client may not require it. Credits restored under this Section are valid for sixty (60) days from the date of their restoration, notwithstanding Section 3.3 and irrespective of the validity attaching to the pack from which they originally arose. This constitutes the Client’s sole and exclusive remedy, and gives rise to no monetary refund, damages, or further claim.

7.4.2 Time limit for replacement requests.

No replacement request shall be accepted where it is submitted more than fifteen (15) days after the last task carried out in respect of the account concerned through the Platform, such task being both submitted and finalized. The nature of the task is immaterial: a video published, an account setup completed, or any other deliverable finalized in respect of that account shall each start a new fifteen (15) day period. This time limit applies cumulatively with the conditions set out in Sections 7.4.4 and 7.4.5, and expiry of this period extinguishes any entitlement to a replacement or free remake.

7.4.3 Diligence expected from the Client.

Before concluding that an account requires replacement, the Client is expected to have iterated on different content, published a volume of posts sufficient to draw a meaningful conclusion, rewarmed the account where relevant (Advanced Warming add-on), and reviewed the analytics of the relevant posts.

7.4.4 Low performance.

An account may be considered low-performing — a situation sometimes improperly described as a “shadowban” — only where all of the following conditions are cumulatively met: (i) at least seven (7) consecutive posts have each, individually and strictly, accumulated fewer than fifty (50) views; (ii) upon a flag check carried out by the manager on the content and on the account, the account has never been flagged for any violation of the terms or community guidelines of the target platform; (iii) the content posted does not fall within the categories of actively regulated content described in Section 7.4.6; and (iv) the account has never been accessed outside the workflows provided by the Platform, its credentials never having been revealed.

TokPortal neither triggers replacements for low performance automatically nor verifies low performance systematically. Any such request must be submitted by the Client to support@tokportal.com.

7.4.5 Account bans.

Where an active account is banned, the relevant manager shall in all cases file an appeal with the platform concerned. If the appeal is unsuccessful, the account shall be marked as banned, and that status shall be reflected on the Client’s dashboard and through the API (see developers.tokportal.com).

A banned account qualifies for replacement where either of the following sets of conditions is met:

  • (i) the ban occurs upon creation of the account or less than twenty-four (24) hours thereafter, without any reason explicitly attached to the account’s own information (profile picture, biography, link in bio, or a username contrary to the platform’s terms); and (ii) the account has never been accessed outside the workflows provided by the Platform, its credentials never having been revealed; or
  • (i) the ban occurs without any justification arising from the platform’s own terms and policies in respect of the content posted; (ii) the content posted does not fall within the categories of actively regulated content described in Section 7.4.6; and (iii) the account has never been accessed outside the workflows provided by the Platform, its credentials never having been revealed.

Where these conditions are met, TokPortal’s default course of action is the restoration in credits provided for in Section 7.4.1. TokPortal endeavours to initiate such restorations on its own initiative.

7.4.6 Actively regulated content.

Third-party platforms track and regulate certain categories of content more actively than others, frequently without displaying any flag on the account, or by displaying an imprecise flag consisting of a generic notice with no explanation of the actual reason. TokPortal does not prohibit the distribution of such content through the Platform, which remains entirely and exclusively the Client’s responsibility. However, no replacement request may be accepted in respect of an account matching any of the following descriptions:

  • Strictly duplicated or highly similar content, whether republished on the same account or across several accounts. This includes the repetition of identical segments within otherwise distinct videos (for example, a product “demo” sequence copy-pasted into several uploads). It also includes any content presenting a high level of similarity even where no segment is strictly reused, and in particular any account, or group of accounts, publishing content in a repeatedly similar format or relying on the same presentation from one post to the next — including, without limitation, the same framing, layout, or composition, the same background or background family, the same visual or typographic style, the same duration, the same narrative structure, or the same editing pattern. The recurrence of a single one of these elements is sufficient for this category to apply; they need not be cumulative.
  • Content presenting a high level of similarity or programmatic characteristics, whether generated by artificial intelligence or not. This includes specifically (a) programmatic slideshows published at scale (same font, same format, same family of backgrounds), excluding content in which the native TikTok in-app text feature was used pursuant to an edit request; and (b) the repurposed repetition of a single sequence, such as a hook repurposed by artificial intelligence using the same source footage, or the reuse of the same AI-generated segment across uploads.
  • Content addressing borderline themes, broadly including finance and investment (including cryptocurrency and online casinos), health and psychology (including digital and physical products), violence, politically controversial or subversive content, and sexuality.

7.4.7 Limits on replacements.

Each account is eligible for a maximum of one (1) credit restoration under this Section. Where TokPortal nonetheless elects to provide a replacement account, that account does not itself carry any further entitlement. Entitlements under this Section are in no circumstances cumulative, transferable between accounts or between Clients, or convertible into a monetary refund.

TokPortal may, at its sole discretion, queue, stagger, throttle, or defer the execution of granted restorations, and of any replacement it elects to provide, according to its available operational capacity, on the terms set out in Section 5.5. TokPortal further reserves the right to amend, restrict, suspend, or withdraw this Section 7.4 in whole or in part at any time, such change being communicated to affected users at least twenty-four (24) hours before it becomes applicable, through any reasonable means at TokPortal’s discretion. Continued use of the Platform after the effective date of such change constitutes acceptance of it.

7.4.8 Individual events only — exclusion of systemic events.

This Section 7.4 applies exclusively to individual events affecting a single account on grounds specific to that account. It does not apply to systemic events, meaning any ban, suspension, restriction, deletion, or loss of reach which (i) affects a significant number of accounts within a comparable period, whether or not those accounts belong to the same Client, or (ii) results from a change in the enforcement practices, moderation systems, detection systems, ranking systems, authentication requirements, policies, or terms of a third-party platform, or (iii) results from any legislative, regulatory, judicial, governmental, or geopolitical measure affecting such platform.

Where TokPortal determines, at its reasonable discretion, that a systemic event has occurred or is occurring, the entitlements set out in this Section 7.4 are suspended in respect of every account falling within the scope affected by that event, for the duration of the event. In such circumstances TokPortal shall bear no obligation to replace, remake, refund, credit, or otherwise compensate any affected account, Order, Listing, Bundle, or Mission. TokPortal may, without being under any obligation to do so, grant discretionary credits. Section 20 applies to such events, except where mandatory law requires otherwise.

7.4.9 Content already published is consumed — no replacement or credit for distributed videos.

Any video or other content item which has been published on a third-party platform through the Platform and has reached the status “finalized” in TokPortal’s database is definitively deemed consumed. Notwithstanding Section 7.4.1 and any other provision of these Terms, no replacement, free remake, credit restoration, refund, or compensation of any kind shall be due in respect of such content, whatever the cause invoked — including without limitation the ban, suspension, restriction, or deletion of the account concerned, low performance or loss of reach, the removal of the post by the platform, or the absence of a correction request within the applicable review period.

The reason is twofold. First, the service purchased in respect of that content — its processing and its distribution — has already been rendered and cannot be undone. Second, third-party platforms restrict duplicated content, in particular where it is republished at scale (see Section 7.4.6), so the same content cannot usefully be republished on a replacement account. TokPortal therefore cannot, under any circumstances and on any ground whatsoever, guarantee the identical (1:1) replacement or the reimbursement in credits of content which has been correctly published.

It follows that where a replacement is granted under this Section 7.4, its scope is limited to the account itself together with the video slots and add-ons which have not yet been consumed. Video slots corresponding to content already published and finalized are excluded from it.

7.4.9.1 Exception — manifest processing error by the Account Manager.

The foregoing does not apply to content affected by a manifest error attributable to the Account Manager’s processing of the deliverable, such as the wrong file, the wrong caption or description, the wrong sound, or an edit manifestly inconsistent with the instructions given. Where the Client reports such an error through the Platform workflow during the review period applicable to that task and before it is finalized, the Client may request a correction of the video, or submit feedback which may lead either to the deletion of the post and a re-upload, or to that feedback being taken into account by the Account Manager for subsequent uploads. In that case, and in that case only, the video concerned may be reimbursed in credits or replaced.

This remedy is available exclusively in respect of a Bundle operating under manual approval. Where the Client has enabled auto-approval for the task type concerned, each task is automatically deemed correct and accepted upon finalization, and no correction request, credit reimbursement, or replacement may be claimed in respect of it.

The review period referred to in this Section is the one provided for in Sections 5.4 and 5.6, namely three (3) calendar days as computed by the Platform. Where no correction request is submitted within that period, the content becomes finalized and is definitively deemed consumed, and Sections 5.6 and 7.3 apply in full.

7.4.10 The Managed Account Subscription must be current.

In respect of any account subject to the Managed Account Subscription (Section 12.7), no entitlement arises under this Section 7.4 where that subscription was not current at the time of the event invoked. Coverage follows the subscription: where it has lapsed, entitlements under this Section are suspended for the duration of the lapse, and the subsequent settlement of unpaid periods creates no entitlement retroactively in respect of an event which occurred during that lapse. Accounts which are not subject to the Managed Account Subscription remain governed by this Section 7.4 without this condition.

7.5 Assumption of Risk by the Client

The Client acknowledges and accepts that publishing and distributing content at scale on third-party social-media platforms carries an irreducible risk of restriction, loss of reach, suspension, or permanent loss of accounts, that this risk is inherent to the nature of the service, that it is reflected in the pricing of the service, and that it is borne exclusively by the Client.

The Client remains ultimately responsible for the content it instructs to be published, for the distribution strategy it pursues, for the volume and cadence at which it operates, and for the consequences of all of the foregoing on the accounts concerned. No provision of these Terms, and in particular no provision of Section 7.4, transfers that risk to TokPortal or to any Account Manager.

8. Account Manager Responsibilities and Limitations

8.1 Legal Status

AMs operate as independent contractors and must comply with tax and legal obligations in their jurisdiction.

8.2 Account Ownership

TokPortal does not claim, and shall not be deemed to claim, beneficial ownership of any social-media account created, set up, or managed through the Platform. Such accounts are operated by Account Managers acting as independent service providers engaged by TokPortal on behalf of Clients. Vis-à-vis the relevant third-party social-media platforms, however, the Account Managers remain the original creators of record of those accounts and may be recognized as such by said platforms for technical, contractual, or compliance purposes.

The conditions governing access to, transfer of, and retention of account credentials are set out in Section 12.

8.3 Content Diligence

AMs must verify compliance of content with laws and platform rules. TokPortal is not liable for AM mistakes.

8.4 Disputes

If a dispute arises, TokPortal may assist, but liability belongs exclusively to Client and AM.

8.5 Payout Holds

TokPortal may temporarily block payouts for technical issues, compliance verification, fraud investigation, or administrative requirements.

9. Account Rental

The Account Rental feature allows account owners to list their existing social-media pages on the Platform so that Clients can schedule content on them.

  • TokPortal acts solely as a matchmaking and scheduling intermediary. It does not own, operate, or log in to rented accounts.
  • The account owner retains full ownership and control of their account at all times. They may remove their account from the Platform at any time, subject to completion of ongoing Missions.
  • Clients who rent account space receive scheduling access only. They do not acquire any ownership, login credentials, or rights over the rented account.
  • TokPortal does not guarantee any performance metrics, audience composition, or distribution outcomes on rented accounts.
  • Both the account owner and the Client are responsible for ensuring that the content scheduled and posted complies with applicable laws and with the rules of the relevant social-media platform.
  • Revenue from Account Rental is subject to TokPortal’s standard service fees as described in Section 6.2.

10. Content and Conduct Rules

  • Illegal, infringing, hateful, or misleading content is prohibited.
  • TokPortal may remove content or suspend accounts at its discretion.
  • TokPortal is not responsible for content posted on any social-media platform by AMs.
  • No compensation is provided if a social-media platform bans or removes an account, subject to the replacement policy set out in Section 7.4.

11. Platform & Industry Neutrality

These Terms apply to all current and future services offered by TokPortal across all industries, platforms, and domains, including but not limited to TikTok, Instagram, YouTube, Facebook, Snapchat, X, or any other digital service where TokPortal may operate.

TokPortal has no partnership, endorsement, or affiliation with any of these platforms. Accounts and content managed through Missions remain subject to third-party platform rules. These platforms may at any time restrict, suspend, or delete accounts without notice. No refund or replacement will be issued for such actions, subject to Section 7.4.

12. Account Access, Credentials and TokMail

12.1 TokMail

  • TokMail email addresses are created by TokPortal exclusively for AM workflow purposes.
  • Clients have no inherent right to access these email addresses, except where TokPortal expressly approves a transfer.
  • Any access to the underlying social-media account granted to the Client shall be made available solely under the conditions set out below and through the workflows expressly provided by the Platform.

12.2 No Guarantee of Permanent Credentials Access

TokPortal does not, and cannot, guarantee permanent, unconditional, or unrestricted access to the credentials (including without limitation login identifiers, passwords, recovery emails, recovery phone numbers, two-factor authentication codes, or any other authentication factor) of any social-media account created, set up, or managed through the Platform. TokPortal expressly reserves the right to introduce, modify, suspend, or withdraw, at any time and at its sole discretion, any policy relating to the sharing, transfer, or retention of such credentials.

12.3 Future Credentials Policies and Pricing Models

Without limitation, the policies referred to in Section 12.2 may include (i) making the sharing or transfer of credentials subject to an additional fee, (ii) conditioning the use of, or any continued access to, a TokPortal-managed account upon the payment of a recurring rental, licensing, or subscription fee, or (iii) implementing any other commercial, operational, or access model deemed appropriate by TokPortal.

Any such change shall be communicated to affected users at least twenty-four (24) hours before the date on which it becomes applicable, through any reasonable means at TokPortal’s discretion (including email, in-app notification, or publication on the Platform). Continued use of the Platform or of the relevant account after the effective date of such change shall constitute the user’s acceptance of the new policy.

The Owning Fee set out in Section 12.5 constitutes an application of point (ii) above.

12.4 Unauthorized External Access

Any access to, or attempt to access, a TokPortal-managed account by the Client, an Account Manager, or any third party using the account credentials outside the workflows, interfaces, and tools expressly provided by the Platform shall constitute a material breach of these Terms. Such access shall result in the immediate and permanent termination of any and all support obligations of TokPortal in relation to the affected account — including without limitation account recovery, mediation with third-party platforms, replacement, post-completion assistance, and any further service — with no possibility of refund, credit, replacement, or compensation of any kind. For the avoidance of doubt, an account whose credentials have been revealed or used outside the Platform is permanently excluded from any replacement or free remake under Section 7.4.

Such access shall further result in the immediate and permanent cessation of the operation of the account concerned by TokPortal and by its network of Account Managers. No task of any kind may thereafter be ordered on that account or executed on it, including without limitation the publication of a video, the posting of a comment, a warming session, an edit to the account’s profile or information, and the issuance of an advertising or partner code. That prohibition applies to every account whose credentials have been revealed, whether or not the account is subject to the Owning Fee under Section 12.5 or to the Managed Account Subscription under Section 12.7, and irrespective of the date on which the account was delivered. The account remains visible in the Client’s dashboard in read-only form, its historical analytics no longer being refreshed.

The reason for this is set out in Section 12.4.2: TokPortal cannot allow an account to be seen from several IP addresses and environments at once, and can warrant its features only in respect of accounts whose online presence it controls in full.

12.4.1 When an account is deemed accessed.

An account is deemed accessed for the purposes of these Terms as soon as its credentials are revealed to the Client or to any third party, by any means whatsoever. The reveal alone triggers that status; it is immaterial whether a login is subsequently attempted or carried out. This includes, without limitation, (i) the mere display of the credentials on the Platform through the credential-reveal workflow, notwithstanding the disclaimer presented to the Client at that moment, (ii) their retrieval through the API, and (iii) their communication, export, or retrieval by any other channel.

By confirming a credential reveal, the Client expressly acknowledges the consequences set out in this Section 12.4 and accepts them. That status is irreversible: an account once deemed accessed cannot revert to its previous status and is permanently excluded from any support, replacement, free remake, credit restoration, or refund, including under Section 7.4.

12.4.2 Risks inherent in accessing an account.

The Client further acknowledges that accessing a TokPortal-managed account — or merely holding and using its credentials — may in itself alter or degrade the digital identity of that account in the eyes of the third-party platform concerned, and may trigger additional verification requirements, a loss of reach, a limitation, a suspension, or a permanent ban. Such consequences arise in particular from the change of device, network, IP address, geolocation, locale, or behavioural fingerprint which such access entails, all of which third-party platforms monitor.

Those risks are borne exclusively by the Client, in accordance with Section 7.5. No support, replacement, free remake, credit restoration, refund, or compensation of any kind shall be due in respect of an account affected by them.

12.5 Owning Fee

This Section implements the pricing model contemplated by Section 12.3(ii). It applies to any Client whose portfolio crosses the thresholds set out below, whether or not that Client operates as a reseller or partner of TokPortal, although in practice those thresholds are reached principally by resellers and partners. Where a partner agreement concluded between TokPortal and the Client provides for different thresholds, rates, or suspension conditions, that agreement prevails over this Section.

12.5.1 Trigger.

Where the Client’s portfolio simultaneously reaches (i) more than twenty-five (25) accounts created, set up, or managed through the Platform, and (ii) a proportion exceeding twenty-five per cent (25%) of those accounts in respect of which the credentials have been revealed to the Client through the Platform’s credential-reveal workflow, a recurring monthly fee (the “Owning Fee”) becomes due in respect of each account whose credentials have been revealed. The Owning Fee is payable from the month in which both thresholds are met and monthly thereafter.

12.5.2 What the Owning Fee remunerates.

The Owning Fee remunerates (i) the acquisition, from the Account Manager who created and holds the account, of the corresponding account slot, and (ii) the Client’s right to hold and retain the credentials of that account, together with the administration costs borne by TokPortal in respect of it. It does not remunerate, and does not give rise to, any support, replacement, free remake, or credit-restoration obligation: an account subject to the Owning Fee has by definition had its credentials revealed and is therefore permanently excluded from those under Section 12.4.1. Its rate is that set out in the Client’s partner agreement or, failing that, in the pricing schedule published by TokPortal. It is distinct from the credits purchased under Section 3 and, for the avoidance of doubt, it confers no right to order any task on the account, the prohibition set out in Section 12.4 applying in full to it. Failure to pay an Owning Fee when due entitles TokPortal to suspend access to the accounts concerned and to the Platform in accordance with Section 14.

12.5.3 The Owning Fee is non-refundable.

The Owning Fee is non-refundable in all circumstances, including where the account concerned is subsequently banned, suspended, restricted, deleted, or lost on any ground whatsoever. No Owning Fee already paid or already due may be refunded, restored in credits, prorated, or set off against any other sum.

This exclusion concerns the Owning Fee alone. It does not affect any credit-restoration arrangement agreed in respect of unused video slots or of the creation of an account, which remains governed by Section 7.4 and by the conditions applicable to it. For the avoidance of doubt, this Section creates no entitlement to a replacement or to a credit restoration: an account subject to the Owning Fee is permanently excluded from both by Section 12.4.1, its credentials having been revealed.

12.5.4 Suspension for inactivity.

The Owning Fee is suspended in respect of any account which TokPortal determines, at its sole discretion, to be inactive, and a fortiori in respect of any account which has been banned, as well as on any other condition agreed in the Client’s partner agreement. The assessment of inactivity is a matter for TokPortal alone: no fixed period, threshold, or criterion of inactivity is guaranteed to the Client, and TokPortal is under no obligation to notify the Client that a suspension has been applied.

12.5.5 Retroactive charge upon reactivation.

Suspension of the Owning Fee is a deferral, not a waiver. Where an account whose Owning Fee has been suspended is reactivated — meaning any resumption of use of that account, whether through the Platform or otherwise — the Owning Fee becomes due again and is charged retroactively in respect of the entire period of inactivity during which it was suspended, in addition to the current month. The Client acknowledges that reactivating a dormant account triggers that retroactive charge in full.

12.6 Dormant Accounts — No Guarantee of Access

Access to an account previously created, set up, or managed through the Platform is not guaranteed where the access request is made more than three (3) months after the date of the corresponding Order and the Client has, since that date, remained inactive on the Platform. Inactivity means the absence of any task submitted or finalized, of any credit purchase, and of any other use of the Platform in respect of the account concerned.

In such circumstances TokPortal cannot warrant that the account is still available, still operational, still held by the Account Manager who created it, or that its credentials remain valid or recoverable. TokPortal shall bear no obligation to restore access to it, to recover it, to replace it, or to restore any credit, and no refund, credit, replacement, or compensation of any kind shall be due on that ground.

Where the Owning Fee applies to the account concerned, Sections 12.5.4 and 12.5.5 apply in addition to this Section.

12.7 Managed Account Subscription

This Section implements the pricing model contemplated by Section 12.3(ii). It applies to every account created, set up, or managed through the Platform and delivered to the Client on or after the effective date applicable to that Client, namely (i) 11 August 2026 at 11:00 UTC in respect of any Client who had placed no Order on the Platform before that date, and (ii) 14 August 2026 at 11:00 UTC in respect of any other Client. A summary of this Section, together with practical guidance, is published at tokportal.com/managed-account-fee; this Section prevails over that page in the event of any discrepancy.

12.7.1 Amount and periods.

A recurring charge in credits (the “Managed Account Subscription”) is payable in respect of each account to which this Section applies, per period of thirty (30) days. Its rate is that set out in the pricing schedule published by TokPortal. Periods run from the date on which the account is delivered to the Client. The first period is included in the price of the account, the first debit accordingly falling due at the expiry of that first period and every thirty (30) days thereafter.

The debit is automatic and is taken from the Client’s credit balance. It is due irrespective of the volume of tasks ordered or executed on the account during the period concerned. It is distinct from, and additional to, the credits purchased to fund tasks, which remain governed by Section 3. Each debit appears in the Client’s credit ledger; TokPortal is under no obligation to notify the Client before a renewal.

12.7.2 What the subscription remunerates.

The Managed Account Subscription remunerates (i) the dedication of a physical device, held by an Account Manager in the target country, to the account concerned and to no other for as long as that account exists, (ii) the retention of the corresponding slot with that Account Manager, (iii) the Client’s ability to order tasks on the account, and (iv) the entitlements set out in Section 7.4, subject to Section 7.4.10.

It is non-refundable in all circumstances, is never prorated, and ceases definitively upon the ban of the account concerned. It does not apply to rented accounts within the meaning of Section 9.

12.7.3 Insufficient balance — lapse, not indebtedness.

The Managed Account Subscription is payable in advance. Where the Client’s credit balance is insufficient on a renewal date, nothing is debited and no sum whatsoever becomes owed: the subscription lapses. The Client can in no circumstances become indebted to TokPortal under this Section.

While a subscription is lapsed in respect of an account, no task may be ordered on that account; tasks already scheduled are withheld rather than executed, content which is not published not being consumed within the meaning of Section 7.4.9; and the entitlements under Section 7.4 are suspended in accordance with Section 7.4.10.

12.7.4 Unpaid periods and reactivation.

The account retains its device and its slot while its subscription is lapsed. Every period of thirty (30) days which has begun since the last period paid for is accordingly due, including the period then running, and no limit applies as to their number. Reactivation of the account requires the settlement of all of them in a single debit.

By way of illustration, in respect of an account whose first debit fell due on the thirtieth day following its delivery: reactivation on the fifty-first day gives rise to a debit of two periods, and reactivation on the sixty-first day to a debit of three periods.

That debit is conditional upon the account being still available: TokPortal verifies its availability first, and where the account can no longer be restored, nothing is debited and no other remedy is due on that ground. Beyond three (3) months of inactivity, Section 12.6 applies in full and reactivation is not warranted.

12.7.5 A credential reveal terminates the subscription and the service.

Where the credentials of an account are revealed within the meaning of Section 12.4.1, no further task may be ordered or executed on that account and the Managed Account Subscription ceases definitively in respect of it, TokPortal no longer operating anything on the Client’s behalf. The account remains visible in the Client’s dashboard in read-only form, its historical analytics no longer being refreshed. The consequences set out in Section 12.4 apply in full and are irreversible.

It follows that the Managed Account Subscription and the Owning Fee never apply to the same account at the same time.

12.7.6 Accounts delivered before the effective date.

Accounts delivered to the Client before the effective date applicable to that Client under Section 12.7 are not subject to the Managed Account Subscription. No sum is due in respect of them under this Section, whether currently or retroactively.

12.7.7 Modification of the rate.

The rate of the Managed Account Subscription is amended by the publication of an updated pricing schedule, communicated in accordance with Section 12.3. An amended rate applies to periods commencing after the date on which it becomes applicable, and never to periods already elapsed.

13. Prohibited Uses

Users (Clients and AMs) are strictly prohibited from:

  • Attempting off-platform contact or bypassing TokPortal workflows.
  • Manipulating Listings, Missions, or the credit system fraudulently.
  • Using TokPortal for illegal, harmful, or deceptive purposes.
  • Harming TokPortal, AMs, Clients, or third parties in any way.
  • Scraping, reverse-engineering, or extracting Platform data.
  • Creating multiple accounts to bypass sanctions or limits.
  • Impersonation or identity fraud.
  • Posting or requesting illegal, infringing, or non-compliant content.

Violations may result in immediate and permanent account termination, forfeiture of credits, and reporting to authorities when required.

14. Suspension and Termination

TokPortal may suspend or terminate accounts with no refund if the user attempts fraud or deception, harms TokPortal or third parties, misuses the Platform for illicit purposes, attempts off-platform contact, or violates platform or legal rules.

15. Intellectual Property

  • Deliverables belong to the Client upon payment.
  • AMs assign applicable intellectual-property rights.
  • TokPortal retains all rights to its own software, branding, and platform.

16. Liability & Disclaimers

Without prejudice to Section 7.4, TokPortal is provided “as is”. TokPortal is not liable for: deleted social accounts, platform restrictions, damages due to content posted by AMs, or indirect or consequential losses.

Maximum liability is the greater of EUR 100 or total fees paid by the user in the preceding 12 months.

17. Indemnification

Users indemnify TokPortal against claims arising from their use of the Platform, their content, or their breach of these Terms.

18. Additional Marketplace Terms

18.1 No Guarantee of Results

TokPortal does not guarantee performance outcomes such as visibility, engagement, growth, monetization, or account longevity. The replacement policy set out in Section 7.4 is a limited commercial policy and does not constitute a performance guarantee, nor does it create any expectation of results.

18.2 Strict Scope Limitation

Clients must review all Bundle descriptions prior to purchase. TokPortal provides only: access to the Platform, matchmaking with AMs, and the services explicitly listed in Bundles. Anything not written in the Bundle is not included, not promised, and not enforceable.

18.3 No Obligation to Provide Extra Work

AMs and TokPortal are not required to deliver any additional service beyond what is explicitly listed.

18.4 Dispute Handling

Subject to Section 7.4, TokPortal may mediate disputes but does not arbitrate legally, guarantee outcomes, or process refunds for disagreements about subjective expectations or platform limitations.

18.5 Abuse and Harassment

Harassment, threats, or abusive behavior toward AMs or TokPortal staff will result in account termination without refund.

18.6 Ratings and Reviews

Clients may leave reviews. Defamatory, false, or abusive reviews are forbidden. AMs must not pressure Clients to modify reviews.

18.7 Quality Standards

AM quality varies depending on tools, platform limitations, and expertise. TokPortal does not guarantee uniformity of quality.

18.8 Operational Methods, Tools, and Automation

TokPortal expressly reserves the right, at any time and at its sole discretion, to add, modify, optimize, replace, or discontinue any of the methods, tools, processes, deadlines, rules, or workflows made available to, or used by, Account Managers in connection with the management of social-media accounts or the conduct of any other activity carried out on or through the Platform. This includes, without limitation, the introduction or use of third-party tools, the modification of operational procedures, the adjustment of timelines, and the revision of internal rules and workflows applicable to any Platform activity.

In particular, account-management processes performed by Account Managers may, in whole or in part, be subject to automation, or to total or partial substitution by proprietary technology developed by TokPortal or by third-party technology, where TokPortal reasonably considers that such measures preserve or improve the quality, reliability, security, or efficiency of the service.

Upon the Client’s reasonable written request, TokPortal may provide additional information regarding such methods, subject in all cases to the protection of TokPortal’s trade secrets, proprietary know-how, and business confidential information, as well as to any contractual confidentiality obligations owed to third-party providers.

19. Third-Party Platform Compliance

All AMs and Clients are solely responsible for ensuring that their use of the Platform, and any accounts or content managed through Missions, comply with the terms of service, community guidelines, and policies of the relevant third-party social-media platforms (including but not limited to TikTok, Instagram, YouTube, and X).

TokPortal does not review, endorse, or guarantee the compliance of any particular Mission, Listing, account setup, or content posting with the rules of any third-party platform. Any consequences arising from non-compliance — including but not limited to account restrictions, suspensions, content removal, or loss of access — are the sole responsibility of the AM and/or Client involved.

TokPortal will not be held liable for actions taken by third-party platforms against accounts managed or created through the Platform.

20. Force Majeure and Platform Discontinuation

20.1 Force Majeure

Neither TokPortal nor any Account Manager shall be liable for any delay in performing, or any failure to perform, any obligation under these Terms where such delay or failure results from an event beyond its reasonable control. Such events include, without limitation: natural disasters, fire, flood, epidemics or pandemics, war, terrorism, civil unrest, strikes or labour disputes, failures of electricity, telecommunications or internet infrastructure, outages or discontinuation of hosting, payment, or other third-party providers, and cyber-attacks.

In respect of third-party social-media platforms specifically, such events also include, without limitation: mass, coordinated, or automated enforcement waves; bans, suspensions, restrictions, or deletions affecting a significant number of accounts within a comparable period; changes to enforcement, moderation, detection, ranking, or authentication systems; changes to the terms, policies, or community guidelines of a platform; the restriction, degradation, or withdrawal of access to features, interfaces, or APIs; and any legislative, regulatory, judicial, governmental, or geopolitical measure restricting, suspending, or prohibiting a platform in one or more countries.

For the duration of such an event, the affected obligations of TokPortal and of the relevant Account Managers are suspended, and no refund, credit, replacement, remake, indemnity, or compensation of any kind shall be due in respect of the affected period, accounts, or deliverables. Where the event persists for more than sixty (60) consecutive days, TokPortal may cancel the affected Orders, Listings, Bundles, or Missions. TokPortal may, without being under any obligation to do so, restore unconsumed credits to the Client’s Platform balance in respect of deliverables not yet executed; where granted, this shall constitute the Client’s sole and exclusive remedy and shall give rise to no monetary refund, damages, or further claim.

20.2 Discontinuation or Unavailability of a Platform

Where a third-party social-media platform ceases to be available in one or more countries, or ceases to operate in whole or in part — whether by decision of the platform itself, by decision of a public authority, or as the result of any legal, regulatory, or judicial measure — TokPortal may suspend or cancel any affected Order, Listing, Bundle, or Mission, and may withdraw the affected platform, country, or feature from the Platform, in each case without prior notice and without incurring any liability.

No monetary refund shall be due in such circumstances. TokPortal may, at its sole discretion, restore unconsumed credits to the Client’s Platform balance in respect of deliverables not yet executed, which shall constitute the Client’s sole and exclusive remedy.

20.3 Mandatory Law

This Section applies except where mandatory law provides otherwise, and does not purport to exclude or limit any right that cannot lawfully be excluded or limited, in particular the rights of Clients qualifying as consumers under French law.

21. Governing Law

French law governs these Terms. Paris courts have exclusive jurisdiction, subject to mandatory consumer rights provisions.

22. Modification of these Terms

22.1 Right to Amend

TokPortal may modify these Terms at any time, in whole or in part. Such modifications may be made in order to reflect, without limitation, changes to the services offered on the Platform, changes to TokPortal’s operational methods or capacity, changes in the behaviour, policies, terms, or enforcement practices of third-party social-media platforms, changes in TokPortal’s pricing or commercial policies, or changes in applicable law or regulation.

22.2 Notice and Effective Date

Any modification shall be communicated to affected users at least twenty-four (24) hours before the date on which it becomes applicable, or within any longer period required by mandatory law. Communication may be made through any reasonable means at TokPortal’s discretion, including email, in-app notification, or publication of the amended Terms on the Platform together with an updated “Last Updated” date. Users are responsible for reviewing these Terms periodically.

22.3 Acceptance and Right to Discontinue

Continued use of the Platform after the date on which a modification becomes applicable — including without limitation purchasing credits, publishing a Listing, accepting a Mission, or submitting or finalizing any task — constitutes acceptance of the amended Terms. A user who does not accept a modification must cease using the Platform. Where the user holds an active subscription, the user may cancel it before the modification becomes applicable, in which case the modification shall not apply to the current billing period. Credits remain in all cases governed by Section 3.

22.4 Version Applicable

Unless mandatory law provides otherwise, each act, event, request, or claim is governed by the version of these Terms in force on the date on which it occurs or is submitted. For the purposes of Section 7.4 in particular, a replacement request is governed by the version of these Terms in force on the date on which that request is submitted to TokPortal, and not by any earlier version.

22.5 Severability and Mandatory Law

If any provision of these Terms is held to be invalid, unenforceable, or unlawful, that provision shall be severed or limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. Nothing in this Section purports to exclude or limit any right that cannot lawfully be excluded or limited, in particular the rights of Clients qualifying as consumers under French law.
